THE P.P. GROUP OF COMPANIES LIMITED (‘THE CUSTOMER’) CONDITIONS OF PURCHASE

1. Interpretation and definitions

1.1 The definitions in this clause apply to this Order:
Company: the person or firm from whom the Customer purchases the Goods as set out in the Order.
Goods: the goods set out in the Order or where the context requires, the goods ordered by and supplied to the Customer;
Order: the order for Goods submitted by the Customer;
Specification: the description of the Goods set out in the Order.

1.2 All purchases of the Goods in accordance with this Order shall be subject to the standard terms and conditions of supply of the Company, save to the extent that:
(a) any express provisions appended to this Order shall prevail over and shall be deemed a variation of any similar provisions of the standard terms and conditions;
(b) any provision of the standard terms and conditions is inconsistent with any express provision appended to this Order, in which case the latter shall prevail; or
(c) the parties agree in writing to vary those standard terms and conditions.

2. Goods

2.1 The Company shall ensure that the Goods shall:
(a) correspond with their description and any applicable Specification;
(b) be of satisfactory quality (within the meaning of the Sale of Goods Act 1979, as amended) and fit for any purpose held out by the Company or made known to the Company by the Customer expressly or by implication, and in this respect the Customer relies on the Company’s skill and judgement;
(c) comply with all applicable statutory and regulatory requirements relating to the manufacture, labelling, packaging, storage, handling and delivery of the Goods.

2.2 If the Goods do not comply with condition 2.1, the Company shall immediately notify the Customer and the Company shall immediately take such action as is necessary to ensure that the Goods are or will comply with condition 2.1, as approved by the Customer.

2.3 The Customer or its authorised representatives shall have the right to enter the Company’s premises to:
(a) inspect the manufacturing facilities and the equipment used by the Company in the manufacture of the Goods pursuant to any Order;
(b) inspect the records of the Company relating to the manufacture of the Goods pursuant to any Order.

2.4 Inspections carried out pursuant to condition 2.3 shall be carried out during business hours on reasonable notice to the Company, provided that, in the event of an emergency, the Company shall grant the Customer immediate access to its premises.

2.5 The Company shall immediately notify the Customer of any changes to its product, processes, suppliers, changes of manufacturing facilities and where required obtain the Customer’s approval to such change.

2.6 The Company shall keep and maintain until [two] years after completion of the Order full and accurate records of the Order including the Goods supplied under it, all expenditure reimbursed by, and all payments made by, the Customer. The Company shall on request grant the Customer, or its authorised representatives, such access to those records as they may reasonably require in connection with the Order.

2.7 Title to Goods delivered to the Customer shall pass to the Customer on delivery.
